To the stock company everyone, do you forget the registration of the director’s change?
- 平成１８年５月１日に会社法（平成１７年法律第８６号）が施行され，本年５月で１０年を迎えます。
The enforcement the companies act May 1, 2006. The companies act pass 10years since the law enforcement day.
- 会社法では，公開会社（※）ではない株式会社の取締役及び監査役の任期は，定款で定めることにより，最長で選任後１０年以内に終了する事業年度のうち最終のものに関する定時株主総会の終結の時まで伸長することができるとされています（会社法３３２条第２項，３３６条第２項）。
The companies act provide the director’s term : 期間(きかん), 期限(きげん)terms of office : 施設(しせつ)office and the company auditor’s terms of office : 施設(しせつ)office for the stock company which is not a public company. The stock company may extend the director’s term : 期間(きかん), 期限(きげん)terms of office : 施設(しせつ)office and the company auditor’s terms of office : 施設(しせつ)office by the articles provision of incorporation.
The terms of office are until the conclusion of the annual shareholders meeting for the last business year which end : 終了(しゅうりょう)[期間等の終わり] / within three months from the end of each business yearends within … from … : …から…以内に(…から…いないに) / within 6 months from the day following the date of public noticewithin ten years from the time of the election.

※ 公開会社とは，株式会社が発行する株式の全部又は一部につき，株式の譲渡について株式会社の承認を要する旨の定款の定めがない株式会社をいいます。株式を市場に公開しているかどうかは関係ありません。
The public company means any stock company the articles of incorporation of which do not require, as a feature of all or part of its shares, the approval
of the stock company for the acquisition of such shares by transfer. It isn’t relation the shares in stock market.the : 当該(とうがい)
- したがって，会社法施行後に取締役及び監査役の任期を伸長している株式会社については，任期が満了する時期を再度御確認いただき，本年の定時株主総会の終結で任期が満了する場合には，定時株主総会における取締役，監査役等の選任，取締役会の決議や取締役の互選等による代表取締役の選定等を行った上，その旨の変更の登記を申請する必要がありますので，御注意ください。
Also, the stock company should check the director’s term : 期間(きかん), 期限(きげん)terms of office : 施設(しせつ)office and the company auditor’s terms of office : 施設(しせつ)office.
If the terms of office expiry, the stock company should registry of the director’s change.
