標記について、別紙甲号のとおり東京法務局民事行政部長から当職宛てに照会があり、別紙乙号のとおり回答しましたので、この旨貴管下登記官に周知方お取り計らい願います。

信託財産を受託者の固有財産とする旨の登記の可否について（照会）
下記事例において、委託者兼受益者Ａが死亡したため、受託者Ｂから、受益者をＢとする旨のＢ作成の報告的登記原因証明情報が提供された上で、受益者の変更登記の申請がされるとともに、登記権利者を受託者Ｂ、登記義務者を受益者Ｂとする不動産登記法（平成１６年法律第１２３号）第１０４条の２第２項の不動産に関する権利が信託財産に属する財産から固有財産に属する財産となった旨の登記の申請がされたところ、信託目録の記録からＢが受益者とみなされることが明らかであるため、当該受益者の変更登記の申請は受理することができ、また、当該受益者の変更登記によって登記記録上の受託者及び受益者がいずれもＢとなることから、信託財産を受託者の固有財産とする旨の登記の申請についても受理することができるものと考えますが、いささか疑義がありますので照会します。
併せて、信託財産を受託者の固有財産とする旨の登記申請に係る登録免許税については、登録免許税法（昭和４２年法律第３５号）第７条第２項が適用されると考えますが、この点についても御教示願います。

信託財産は不動産のみであり、以下のとおり、登記名義人を受託者Ｂとする所有権の登記がされている。

信託目録に次の記録がある。
ア委託者Ａが死亡した場合には、信託が終了する。
イ委託者の死亡により信託が終了した場合の清算受託者及び残余財産帰属権利者は、信託終了時点における受託者とし、その者に給付引渡すものとする。

（１）受託者は、受益者又は受益者代理人からの同意を得て、信託不動産を処分することができる。また、受託者自らが必要かつ合理的と認める場合、受託者の裁量にて行うことができる。

（２）受託者は、受益者又は受益者代理人の同意を得て、下記の事項に関して信託不動産に抵当権を設定し、抵当権設定登記手続を行うことができる。
: The trustee may set the mortgage and registry of the mortgage in the real property of the trust in the following case (ア、イ、ウ) when the beneficiary or the beneficiary’s agent agrees to it.
ア 信託不動産のためにする金銭の借入れのために、受益者または受託者を債務者とする場合
: The obligor, who is the beneficiary or trustee, loans money to the real property of the trust.
イ 受益者が本信託設定以前において、信託不動産のために負担していた債務を担保するため、受益者を債務者とする場合。
: The obligor, who is the beneficiary, secures the obligation for the real property of the trust.
ウ 信託費用が欠ける場合、信託費用等を補填するためにする金銭の借入のため、受託者を債務者とする場合。

４、信託の変更: Modification of the trust.
本信託は、受託者および受益者又は受益者代理人との合意により、変更することができる。
: The trust may be modified when the trustee and the beneficiary (or the beneficiary’s agent) agree to the modification.
５、信託の終了: Termination of the trust.
本信託の終了事由は、下記の通りである。
: The grounds for termination of the trust are the following.
（１） 委託者Ａが死亡した場合。
(1) In the event of the death of Trustee A.
（２）受託者および受益者又は受益者代理人が合意した時。
: (2) If the trustee and the beneficiary (or the beneficiary’s agent) agree to the termination of the trust, the trust terminates.
（３）信託法に定める事由が生じた時。
: (3) If the grounds in the trust act occur, the trust terminates.
６、残余財産の帰属権利者: The holder of the vested right of the residual asset
本信託の残余財産の帰属権利者は、信託終了時点における受託者とし、その者に給付引渡す。
The person entitled to the residual assets of the Trust shall be the Trustee at the time of termination of the Trust, and the Trust shall deliver the benefits to such person.
７、清算手続の終了: Termination of liquidation procedure of the trust.
清算受託者は、信託終了時点における受託者とし、清算手続は、信託財産の全てを、これに関する一切の債権債務関係と共に、残余財産の帰属権利者に引き渡したときに終了する。
The liquidating trustee shall be the trustee as of the time of termination of the trust, and the liquidation proceedings shall terminate when all of the trust property, together with all claims and liabilities relating thereto, is delivered to the person entitled to the residual property.
